These Terms and Conditions (“Terms”) govern your use of the website at listandsellsimple.com and the services offered by Start Simple LLC, doing business as Sell Simple Resale (“Sell Simple,” “we,” “us,” or “our”). By using our website or services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. About Our Services
Sell Simple is a managed resale service operating in the Metro Phoenix area. We help clients sell their items by photographing, listing, marketing, communicating with buyers, and coordinating pickup or shipping across various online marketplaces.
The specific terms of any selling engagement — including commissions, fees (such as the house fee), and payouts — are set out in a separate consignment agreement between you and Sell Simple. If these Terms conflict with your consignment agreement about a selling engagement, the consignment agreement controls.
2. Eligibility
You must be at least 18 years old and able to enter into a binding agreement to use our services.
3. Use of the Website
You agree to use the website lawfully. You will not interfere with its operation, attempt to gain unauthorized access, misuse our forms or submissions, or use the site to infringe the rights of others. We may suspend or restrict access for misuse.
4. Submissions and Accuracy
Information you submit through forms, email, or otherwise must be accurate and yours to provide. You represent that you own, or otherwise have the right to sell, any items you submit to us for consignment.
5. Listings and No Guarantee of Sale
We use reasonable efforts to sell consigned items at a strong price, but we do not guarantee that any item will sell, how long a sale will take, or the final sale price. Pricing and platform decisions are made using our experience and market research.
6. Fees
The fees, commissions, and house fee that apply to a selling engagement are described in your consignment agreement. Those terms govern what you pay and what you keep.
7. Intellectual Property
The Sell Simple name, logo, website content, and materials are owned by Start Simple LLC or its licensors and may not be copied, reproduced, or used without our written permission.
8. Third-Party Platforms and Links
Our services involve third-party marketplaces, and our website may link to third-party sites. We are not responsible for the content, policies, or practices of those platforms or sites.
9. Disclaimers
The website and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
10. Limitation of Liability
To the fullest extent permitted by law, Sell Simple and its owners will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, arising out of or related to your use of the website or services. [Your attorney may add a specific liability cap here.]
11. Indemnification

12. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration under Section 13, you and Sell Simple agree to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.
13. Arbitration and Class Action Waiver
Please read this section carefully. It affects how disputes between you and Sell Simple are resolved, and it limits your right to go to court or to participate in a class action.
13.1 Agreement to arbitrate. You and Sell Simple agree that any dispute, claim, or controversy arising out of or relating to these Terms, our website, or our services will be resolved by binding individual arbitration, rather than in court, except as stated below. This agreement to arbitrate is governed by the Federal Arbitration Act.
13.2 Arbitration process. The arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules then in effect. The arbitration will take place in Maricopa County, Arizona, or be conducted by phone, video, or written submissions, and the arbitrator’s decision will be final and binding.
13.3 Class action waiver. Disputes will be arbitrated only on an individual basis. To the fullest extent permitted by law, you and Sell Simple waive any right to bring or participate in a class, collective, consolidated, or representative action.
13.4 Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may ask a court for injunctive or other equitable relief to protect its intellectual property or confidential information.
14. Changes to These Terms
We may update these Terms from time to time. Your continued use of the website or services after changes are posted means you accept the updated Terms.
